Position Summary
Kelso Industries is seeking a Paralegal to support corporate, compliance, and operational legal needs across our MEP+ portfolio companies, with particular responsibility for managing state and local trade licensing. This is a newly created role, ideal for a proactive, organized professional with a client-service mindset who enjoys building scalable processes, managing details, and supporting a growing legal function in a dynamic environment.
Key Responsibilities
Corporate & Compliance
- Maintain legal entity records for portfolio companies
- Support entity formation and foreign qualification filings
- Assist in selecting and managing a registered agent/annual report service provider
- Help implement internal compliance policies (e.g., privacy, ethics, anti-bribery)
- Support internal audits and investigations
Trade Licensing Management
- Oversee the tracking, applications, renewals, and maintenance of trade licenses across Kelso Industries' operating companies
- Implement and manage a software solution to track and maintain licenses
- Coordinate with portfolio company leaders to ensure licensing compliance, especially during integrations and new acquisitions
- Serve as a resource for resolving licensing-related issues and questions
Contract Administration
- Maintain centralized repository of customer, vendor, and lease agreements
- Coordinate execution of finalized agreements
- Assist in developing standard contract templates and process checklists
Litigation Support
- Help manage outside counsel relationships and monitor legal spend
- Coordinate litigation holds and document production with external counsel
- Assist in gathering internal documents and communications for litigation matters
Qualifications
- Experience managing construction licenses, preferably in multiple states
- Experience supporting legal functions in a corporate environment
- Highly organized, self-motivated, and detail-oriented
- A sense of humor, collaborative mindset and enthusiasm for building something new
- Familiarity with lien filings is a plus
