About the Role

Crusoe provides GPU-as-a-Service and AI infrastructure to some of the world's most demanding customers. Cloud sales contracts—specifically high-ACV GPU capacity commitments—sit at the center of this business. In this role, you will help shape the legal approach across the sales lifecycle, managing risk associated with these specialized commitments while building scalable contracting processes.

Key Responsibilities

  • Support the legal approach for GTM and Sales, translating business goals into executable legal priorities and serving as a key legal partner to GTM and sales teams.
  • Negotiate, draft, and execute complex, high-visibility transactions, focusing on Cloud Service Agreements (CSAs), Master Services Agreements (MSAs), and bespoke strategic enterprise deals.
  • Provide legal advice on key cloud contract terms, including Service Level Agreements (SLAs), indemnity exposure, data security provisions, usage-based consumption models, and limitations of liability.
  • Guide legal advice on key terms unique to AI infrastructure, including usage-based consumption models, performance guarantees, and high-ACV capacity commitments.
  • Provide legal support and governance across cloud sales motions, including direct sales, global channel partners, reseller programs, and marketplace integrations.
  • Develop and maintain global legal playbooks, standardized templates, and scalable systems to improve the speed and efficiency of the contracting process for Crusoe's growing cloud business.
  • Collaborate with and support specialized legal teammates on matters concerning new Cloud service features, product rollouts, and continuous compliance with evolving global data privacy and regulatory frameworks.

Qualifications

  • Juris Doctor (JD) from an accredited law school and active state bar membership in good standing.
  • 7+ years of progressive experience in the technology sector (Cloud/SaaS, Hardware, On-Premise Software).
  • Proven history of negotiating and closing high-impact commercial transactions and supporting complex deals during periods of significant company growth.
  • Strong working knowledge of B2B commercial transactions, cloud software licensing, and managing legal risk across various sales distribution models.
  • Strong communication skills and a demonstrated ability to build trusted relationships with senior stakeholders and cross-functional partners.
  • Demonstrated ability to provide practical, business-oriented legal advice that balances risk with revenue growth.
  • Experience supporting customers across diverse industry segments such as AI/ML labs, enterprise SaaS, Financial Services, and Cloud Service Providers is a strong plus.
  • Experience supporting customers across AI/ML labs, enterprise SaaS, or GPU/data center infrastructure providers is a strong plus.
  • Proficiency with Ironclad (CLM) and Salesforce is highly preferred to support existing contracting workflows.

Compensation Range

Compensation will be paid in the range of up to $235,000 - $275,000 + Bonus. Restricted Stock Units are included in all offers. Compensation to be determined by the applicant's knowledge, education, and abilities, as well as internal equity and alignment with market data.

Requirements Experience: 5+ years in software engineering with proven experience building compute platforms, container orchestration systems, or distributed compute infrastructure for production environments.
