Description

Supports entity management and corporate governance by maintaining corporate entity records, ensuring compliance across jurisdictions, and assisting Counsel with strategy and process improvements.

Responsibilities

  • Update and maintain a corporate entity management database with information on legal entities (states of incorporation, qualifications to do business and organizational structures), entity officers and boards of directors, and corporate records to ensure meticulous corporate recordkeeping
  • Oversee entity compliance, including jurisdictional qualifications to do business, withdrawals, and fictitious name filings
  • Liaise with external service providers in different jurisdictions, including legal counsel, to ensure compliance with local laws and regulations
  • Prepare and route corporate resolutions and other documents for review and signature
  • Provide entity support for transactions, including assistance with structuring, interim structures, fictitious business names, and related matters
  • Assist Counsel with strategy and process improvement for current entity management processes
  • Manage all invoicing related to the entity management database
  • Work with other members of the Legal Department on special projects and initiatives, including coordinating and/or leading projects

Requirements

  • At least 5–10 years of experience as a paralegal (depending on educational background), including strong entity management and experience with corporate secretary functions
  • Bachelor’s degree in relevant field with 5 years’ experience, or Associate’s Degree with an additional 5 years (10+ years) of paralegal experience
  • Employment is contingent upon successful completion of a background check, drug screening, and verification of employment, education, and other credentials relevant to the position

Compensation

  • Salaries may vary by location. The range for this role in New York City is $101,000 - $145,000 plus bonus
  • Final compensation determinations are made based on factors including experience, education, skill level, business strategic priorities, primary office location, and role scope/anticipated strategic impact
