Team Overview

We are seeking an experienced Senior Counsel to join our Office of the General Counsel with specialized experience in employment law and data privacy and protection. This role will serve as a strategic legal advisor on complex workforce matters, data compliance issues, and other legal representation matters, supporting our mission-driven organization in maintaining the highest standards of legal and ethical compliance, across our global organization.

Key Responsibilities

  • Assist General Counsel in leading efforts to provide core legal services to ADF and its subsidiary entities.
  • Provide strategic legal counsel on all aspects of the employment lifecycle, including compliance with global, state, and federal laws and regulations; conduct internal investigations; draft and negotiate employment-related agreements and policies; advise on compensation practices; and provide relevant legal support to HR, leaders, and other stakeholders.
  • Manage litigation and disputes directly or indirectly involving ADF corporate entities or officers as parties, including employment-related matters, working with outside counsel, as appropriate.
  • Advise on data privacy, protection, and security matters to ensure global compliance.
  • Proactively protect ADF corporate entities from legal and non-legal threats.
  • Collaborate with cross-functional teams, including HR, IT, Finance, Development, and program teams.
  • Provide training to team members in relevant areas.
  • Interact with outside counsel, as necessary.
  • Stay current on legal developments affecting the ministry and communicate impacts to stakeholders.
  • Handle special projects assigned by the General Counsel.

Minimum Qualifications

  • J.D., active license in at least one US state bar, and capable of meeting admission requirements in relevant jurisdiction within one year
  • 10+ years of relevant experience
  • Ability to travel overnight and international travel, as needed

Preferred Qualifications

  • In-house experience and big law background
  • Global employment law experience
  • Experience in international regulatory law

Team Overview Key Responsibilities - Conduct complex legal research and analysis concerning state and federal legislative, regulatory, and litigation opportunities for achieving the aims of ADF's corporate engagement efforts. - Assist in the development of testimony, state and federal public policy, position papers, and reports on select corporate engagement issues. - Develop and execute strategies for shareholder engagement on ADF's areas of interest at publicly traded companies, including drafting shareholder proposals, assisting with filing proposals, and developing public policy and media strategies. - Defend shareholder proposals from company no-action requests to the SEC and review other attorneys' work on the same. - Provide other legal representation for shareholder engagement, including compliance advice, representing shareholders in meetings with companies, and leading negotiations on shareholder engagement. - Lead a coalition of conservative and faith-based investment advisors, proxy advisors, and shareholders, and work closely with public officials on shareholder engagement. - Contribute to coordinated PR campaigns on priority shareholder issues, including letter writing, rallying members of multiple coalitions, and strategic media. - Oversee the Viewpoint Diversity Index, related corporate research, and a team of 3-4 research analysts. - Handle media interviews and public speaking engagements. Team Overview In this role, you will report to the Vice President of Communications and PR and are responsible for managing the creation of speeches, briefing documents, op-eds, and other content for ADF's CEO, President and Chief Counsel, and other senior leaders as needed; overseeing research and information gathering for reports for executive leadership, donors and key stakeholders, collaborating with the Vice President of Communications on messaging, statements, and other communications content. Key Responsibilities • Develop executive communications (speeches, briefing documents, op-eds, presentations, statements, etc.) primarily for the CEO, President and Chief Counsel. • Prepare and/or edit messaging documents for internal and external communications. • Develop periodic summaries and presentations for the Board of Directors. • Translate objectives, team performance, and organizational vision into stories and messages that relate to specific audiences. • Oversee and coordinate research and information-gathering related to ADF cases and Legal and Communications team performance for reports for executive leadership, donors, and key stakeholders, and for speeches and remarks delivered by the CEO, President and Chief Counsel. • Maintain a database of material for use in speeches and op-eds. • Develop and maintain a library system cataloging speeches, presentations, and media appearances delivered by the CEO, President and General Counsel, and other spokespeople.
