About the Role

Reporting to the Deputy COO, you will be a senior member of the legal team, with primary responsibility for commercial contracting, corporate governance execution, fundraising, day-to-day legal support, and other ad hoc strategic projects. You will play a critical role in hiring and developing a team as the company scales. This role requires a leader who can perform substantive legal work alongside an experienced executive team, with significant exposure to critical and sophisticated workstreams.

Key Responsibilities

  • Own day-to-day legal execution across commercial, corporate, and operational matters.
  • Lead M&A, investments, joint ventures, and other strategic initiatives from diligence to closing.
  • Draft and negotiate tailored agreements with strategic partners in institutional finance, digital assets, and technology sectors.
  • Advise on IP, data protection, and regulatory issues related to commercial agreements.
  • Oversee corporate structuring, governance materials, records, and global filings.
  • Collaborate cross-functionally with finance, operations, product, and business development teams.

Qualifications

  • J.D. from an accredited, top-tier law school.
  • Member in good standing of a U.S. state bar (preferably NY).
  • 7+ years of relevant legal experience, including training at a top-tier law firm in corporate or transactional practice.
  • In-house experience at a high-growth technology company, preferably in fintech or Web3, strongly preferred.
  • Proven track record of independently leading complex commercial and corporate transactions in tech, payments, or finance.

Skills & Attributes

  • Significant experience in Corporate, M&A, or Emerging Companies law with deep knowledge of corporate and securities law.
  • Strong judgment, analytical rigor, and business pragmatism.
  • Ability to independently own projects from concept to completion.
  • Excellent communication skills and ability to build high-trust relationships.
  • Interest in crypto, blockchain technologies, and DeFi.
  • Exceptional attention to detail and process improvement mindset.

Nice to Haves

  • Experience interacting with investors and advising on investment documents such as SAFEs and token warrants.
  • Familiarity with legal issues in the crypto/DeFi ecosystem and decentralized protocol structures.
  • Experience with regulated financial services firms and digital asset regulation.
  • Comfort with collateral agreements and bankruptcy rules.
